Terms of Service

These Terms of Service (“Terms”) form a binding agreement between you (“you” or the “User”) and TAKGIO, Inc., a New Jersey Corporation (“TAKGIO,” “we,” “us,” or “our”), governing your access to and use of the Ann Elise tutoring platform, including the website at annelisetutor.com, related applications, and all features and services we provide (collectively, the “Service”). By creating an account, subscribing, or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility

The Service is intended for students in higher education. You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account and to subscribe. By using the Service you represent that you meet this requirement and that the information you provide is accurate. The Service is not directed to children under 13, and we do not knowingly collect personal information from them (see the Privacy Policy, “Children’s Privacy”).

2. Description of the Service

Ann Elise is an AI-powered tutoring platform that provides Socratic, conversational instruction, homework guidance, practice assessments, progress tracking, and related study tools, with optional voice interaction. Tutoring responses are generated by artificial intelligence. The Service is a study and learning aid; it is not a tutor of record, an academic credential, or a substitute for your own coursework, your instructors, or professional advice.

3. Accounts and Registration

  • You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
  • You agree to provide accurate information and to keep it current.
  • You must notify us promptly of any unauthorized use of your account at support@annelisetutor.com.
  • One account is for one individual; you may not share, sell, or transfer your account.

4. Subscriptions, Billing, and Auto-Renewal

4.1 Plans and pricing

The Service is offered on a freemium basis with the following plans (prices in U.S. dollars and subject to change as described below):

  • Free — a limited allowance of tutoring sessions per month, text only; no charge.
  • Basic — $9.99/month — unlimited text tutoring, homework help, quizzes, and study tools.
  • Pro — $16.99/month — everything in Basic, plus voice tutoring and “On-the-Go” voice mode.
  • Annual billing — if paid on an annual basis, a 20% discount is applied off the monthly rate.
  • Referral Credit – In the event of a referral. The referral credit of a month shall be credited to your account once the referral signs and fully pays for their plan.

4.2 Payment processing and Merchant of Record

Payments are processed by Polar, which acts as our Merchant of Record. The Merchant of Record is the seller of record for your subscription, handles payment and billing, and is responsible for collecting and remitting any applicable sales tax or VAT. Your purchase is also subject to the Merchant of Record’s own terms and privacy notice. We do not receive or store your full payment-card details.

4.3 Auto-renewal

Subscriptions renew automatically. Unless you cancel before the end of the current billing period, your subscription will automatically renew for another period of the same length, and the payment method on file will be charged at the then-current price. You can cancel at any time as described in the Refund & Cancellation Policy.

4.4 Taxes

Prices are exclusive of taxes unless stated otherwise. Any applicable taxes are determined and handled by the Merchant of Record at checkout.

5. Free Tier and Usage Limits

Free and paid plans are subject to usage allowances and fair-use limits (for example, sessions per month, messages per day, and voice availability by plan). We may apply reasonable rate limits and automated abuse protections to keep the Service available and affordable for everyone. We may adjust these allowances over time; material reductions to a paid plan you are currently subscribed to will be communicated in advance.

6. Acceptable Use

You agree not to:

  • Use the Service to violate any law or any third party’s rights.
  • Attempt to access another user’s account or data, or to circumvent security, rate limits, or usage controls.
  • Reverse engineer, scrape, or build a competing product from the Service, or resell access to it.
  • Upload content you do not have the right to share, or content that is unlawful, infringing, or harmful.
  • Use the Service to generate work you will submit as your own in violation of your institution’s rules (see “Academic Integrity”).
  • Interfere with or disrupt the integrity or performance of the Service or its underlying providers.

7. Academic Integrity

Ann Elise is built on a teaching-not-answering philosophy: it is designed to help you understand and do your own work, not to produce submission-ready answers, essays, or graded deliverables. You are solely responsible for complying with your school’s and instructors’ policies on the use of AI tools. Those policies vary; some courses restrict or prohibit AI assistance on certain assignments. Before using the Service for any graded work, check and follow your course’s policy. We are not responsible for academic-integrity findings, disciplinary actions, grades, or other academic outcomes resulting from your use of the Service.

8. AI-Generated Content and Accuracy

Tutoring content is generated by artificial intelligence and may be incomplete, inaccurate, or wrong. Do not rely on it as a sole source of truth. Always verify important information against your course materials, textbooks, and instructors. The Service does not provide professional, legal, medical, financial, or other licensed advice. You use AI-generated content at your own discretion and risk. Takgio, Inc., assumes no responsibility and User is responsible to check with their tailored course work provided by the individual professor/teacher as individual instructions have their own particular interpretation of the course work.

9. Your Content and License

  • You own what you upload. You retain all rights to the materials you provide (such as syllabi, notes, problems, and images) and to your conversation history and learning data.
  • License to operate the Service. You grant us a limited, non-exclusive license to host, process, transmit, and display your content solely to provide and improve the Service for you, including by sending relevant content to our AI and infrastructure providers as described in the Privacy Policy.
  • Export and deletion. You may export your data and delete your account as described in the Privacy Policy.
  • No training on your content for third-party models. As described in the Privacy Policy, our AI provider does not use data submitted through its API to train its models.
  • Any and all information and programming generated from Ann Elise AI is the sole property of TAKGIO, Inc. The User is permitted to use the course material and program for the allotted time and shall not share, give, and/or transfer any of their rights or course material to another individual or entity. User has no transferable rights or remedies.

10. Intellectual Property

The Service, including its software, design, tutoring methodology, prompts, content, and trademarks (including “Ann Elise” and “TAKGIO”), is owned by TAKGIO or its licensors and is protected by intellectual-property laws. Except for the rights expressly granted to you, we reserve all rights. These Terms do not transfer any ownership of the Service to you.

11. Third-Party Services

The Service relies on third-party providers (for AI, hosting, data storage, voice, security, and payments). Your use of the Service may be subject to those providers’ terms, and we are not responsible for third-party services we do not control. A current list of key sub-processors appears in the Privacy Policy.

12. Privacy

Our collection and use of personal information is described in the Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to that processing.

13. Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or that AI output will be accurate or suitable for any particular purpose, including any academic outcome.

14. Limitation of Liability

To the maximum extent permitted by law, TAKGIO and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, or academic standing, arising out of or relating to your use of (or inability to use) the Service — even if advised of the possibility. Our total aggregate liability for any claim relating to the Service will not exceed the greater of (a) the amount you paid us for the Service in the twelve (12) months before the event giving rise to the claim, or (b) US$250.

15. Indemnification

You agree to indemnify and hold harmless TAKGIO and its representatives, servants, sub-contractors, employees, and staff from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your misuse of the Service, your violation of these Terms, or your violation of any law or third-party right.

16. Termination

  • By you. You may stop using the Service and delete your account at any time.
  • By us. We may suspend or terminate your access if you violate these Terms, create risk or legal exposure, or for prolonged inactivity, with notice where practicable.
  • Effect. On termination, your right to use the Service ends. Sections that by their nature should survive (e.g., ownership, disclaimers, limitation of liability, indemnification, and dispute terms) will survive. Data handling on termination is described in the Privacy Policy.

17. Changes to the Service and to These Terms

We may modify the Service or these Terms from time to time. If we make material changes to these Terms, we will provide reasonable notice (for example, by email or in-app notice) before they take effect. Your continued use of the Service after changes become effective constitutes acceptance. If you do not agree, you must stop using the Service.

18. Governing Law and Dispute Resolution

1. This Agreement shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law provisions. The Parties consent to the exclusive jurisdiction of the American Arbitration Association (AAA), but in the event that a Superior Court of the State of New Jersey decides that the American Arbitration Association (AAA) is not the proper venue, then the matter shall be venued by the decision of the Superior Court of the State of New Jersey, Bergen County.

2. The parties herein agree that the sole remedy shall be a binding decision issued by the American Arbitration Association (AAA). The parties herein waive any and all rights to having a jury or non-jury trial and fully understand that they are waiving their rights to an attorney review and fully understand that the American Arbitration Association (AAA) is the sole remedy. Either party may file the within dispute with the American Arbitration Association (AAA).

3. Prior to any filing with the American Arbitration Association (AAA), per Section 18 Subsection 2 the parties herein agree to attempt to resolve disputes informally first by contacting Richard Takvorian, Esq., at Taklawyer@yahoo.com.

4. The parties herein waive Class-Action status.

19. Miscellaneous

  • Entire agreement. These Terms and the Privacy and Refund policies are the entire agreement between you and us regarding the Service.
  • Severability. If any provision is unenforceable, the rest remains in effect.
  • No waiver. Our failure to enforce a provision is not a waiver.
  • Assignment. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
  • Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
